What Velxa provides
Velxa provides AI diligence reports based on analysis of publicly available information. Reports are informational tools for use in M&A due diligence and regulatory compliance review. They are not legal advice, financial advice, or investment advice. No attorney-client relationship is created by purchasing or receiving a Velxa report.
Signal intelligence scope
Velxa's IRON pipeline collects and analyzes only publicly available information: job postings, public GitHub repositories, company privacy policies and terms of service, product pages, press releases, and SEC filings. Velxa does not access, and makes no warranty regarding, any non-public information about any company. The accuracy of findings is inherently limited by the accuracy and completeness of public disclosures made by the subject company.
Delivery timeline
Velxa commits to delivering completed reports within 48 hours of order confirmation for Snapshot Reports and within 72 hours for Full Diligence Reports and AI DD Packages. The delivery clock begins when payment clears and order details are confirmed. If Velxa fails to deliver within the committed timeline, you are entitled to a full refund.
Refund policy
Once the IRON pipeline begins processing your order (typically within 2 hours of order confirmation), Velxa has incurred material costs and refunds are not available except for delivery failures as described above. If you cancel your order within 2 hours of placement, before pipeline execution begins, a full refund will be issued within 5 business days. To request a refund, email support@velxa.ai with your order ID.
License
Velxa grants you a non-exclusive, non-transferable license to use delivered reports for your own internal diligence purposes. You may share the report with your counsel, deal team, and direct counterparties in the transaction for which the report was ordered. You may not resell, sublicense, or publicly publish Velxa reports without written consent.
Limitation of liability
Velxa's total liability to you for any claim arising from or related to a report is limited to the price paid for that report. Velxa is not liable for indirect, consequential, incidental, or punitive damages. Velxa makes no warranty, express or implied, that its reports are complete, accurate, or fit for any particular purpose. Use of Velxa reports is at your own risk.
Governing law and disputes
These terms are governed by the laws of Wyoming, USA, without regard to conflict of law principles. Any dispute arising from these terms or your use of Velxa services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted. Each party bears its own costs unless the arbitrator determines the prevailing party is entitled to fees.
Changes to these terms
Velxa may update these terms. We will post the updated terms with a new effective date. Continued use after the effective date constitutes acceptance. For material changes, we will notify you via email if you have an active account.
